What is expected of you?

  • Support the Company Secretarial Manager in delivering company secretarial and corporate governance services to a portfolio of local and international clients
  • Act as a primary point of contact for assigned clients, ensuring professional communication and excellent client service
  • Maintain statutory registers and corporate records, ensuring compliance with the Maltese Companies Act and regulatory requirements
  • Prepare board and shareholder documentation, including agendas, board packs, minutes, resolutions, notices, and proxies
  • Coordinate Board and Shareholder meetings, ensuring statutory and constitutional requirements are met
  • Assist with company incorporations, restructurings, share transfers, share allotments, constitutional amendments, dissolutions, and liquidations
  • Prepare and submit statutory filings with the Malta Business Registry (MBR), including annual returns and prescribed forms, while supporting interactions with the MFSA and other regulatory authorities
  • Support client onboarding and ongoing KYC/AML processes by collecting and maintaining accurate corporate documentation
  • Monitor statutory deadlines to ensure all filings and corporate obligations are completed accurately and within the required timeframes
  • Provide governance support, identify potential compliance risks, and maintain confidentiality and professional integrity in all client matters
  • Keep up to date with legislative and regulatory developments affecting corporate services and contribute to continuous improvement within the Company Secretarial function

What do you need to bring?

  • Previous experience in a Company Secretarial, Corporate Services, Legal, or Corporate Administration role
  • Good knowledge of the Maltese Companies Act and corporate governance principles
  • Experience preparing and submitting statutory filings with the Malta Business Registry (MBR)
  • Familiarity with MFSA regulations and CSP regulatory requirements would be considered an asset
  • Experience supporting company incorporations, corporate restructurings, and maintaining statutory registers
  • Understanding of KYC/AML requirements within a Corporate Services environment
  • Excellent organisational skills with strong attention to detail and the ability to manage multiple deadlines
  • Strong communication and interpersonal skills with a client-focused approach
  • Proficiency in Microsoft Office applications
  • Excellent written and spoken English. Maltese would be considered an asset
